The Synergy Business Club By-Laws

 

ARTICLE I - Name

The name of this unincorporated organization shall be Synergy Business Club (the "Club").
 

ARTICLE II - Purpose

The principal purpose of the Club is to provide members of varied professions and business types the opportunity through fellowship to further the members' businesses or financial interest. This purpose is to be achieved by exchanging tips, leads, ideas, and information concerning definitive business prospects or business potential. The Club will also represent itself as a single entity to new businesses in the area thereby promoting the business of each member. Club members may conduct business between members, but membership in the Club imposes no such responsibility upon the
various members.
 

ARTICLE III - Officers and Their Duties

Section 1. The Club shall have the following officers: President,
Vice President, Secretary, Treasurer, and Director of Public Relations.
 
Section 2. Each Officer is responsible for delegating the performance of his duties to another in the event that he shall be absent from a meeting.
  • A. The President shall preside at the meetings and be responsible for supervising the affairs of the Club. The President
    shall be responsible for welcoming and inducting new members into
    the Club. The President shall welcome guests, explain to them the purpose and operation of the Club and secure their application. The President shall be responsible for coordination and developing membership and for promoting the Club as a whole.
  • B. The Vice President shall act in the President's absence and shall maintain the register or Syntips.
  • C. The Secretary shall act in the Vice President's absence.
    The Secretary shall record attendance, keep a roll of all active members, including the members' names, business address, profession and specialty, and notify all members of meetings. He shall notify any member whose lack of attendance or payment of dues has caused him to be dropped from membership, pursuant to Article IX, section 2. The Secretary ,shall notify the President promptly of such action.
  • D. The Treasurer shall collect and provide an accounting for all dues, pay all appropriate bills and make a regular financial report to the Club, no less often than every six months at the final Club meeting prior to expiration of the Treasurer's term. He shall contact all members who are delinquent in payment and notify the Secretary if the payment is not received in a timely manner.
  • E. The Director of Public Relations shall write and forward press releases and write a newsletter monthly.

ARTICLE XV - Selection of Officers

Section 1. All officers shall be elected by a simple majority of a quorum at the first September meeting in each September and March. For the purposes of these By-Laws, a quorum at any duly-called meeting shall be one-half of the membership of the Club.
 
Section 2. All officers shall serve a six month term.. Commencing either March 15 or September 15. No officer shall succeed himself in the same office, but he may hold other offices the following term if so elected.

Section 3. There shall be appointed by the President at the first
meeting of each September and March a nomination committee to select candidates for offices of the next term. It is suggested that the membership of this committee shall be made up of the
current President and any two past presidents. The said committee shall select a slate to be presented to the Club at the proper time for elections.
 

 

ARTICLE V . Meetings

The Club shall meet on the Tuesday of each week for lunch at 11:45 a.m. (or such other designated time) at a location determined by the membership at the prior meeting or as otherwise established.
 

ARTICLE VI . Membership

Section 1. Membership shall be unlimited, subject to an adjustment by a majority vote of quorum.

Section 2. One representative shall be allowed for each business type or profession. If one member representing a business type or profession changes said profession or business type to one which is represented by another member, the member with the longest seniority as a member of the club shall be the only representative of the common profession or business type.

Section 3. In the event that a new member represents an overlapping profession or business type, approval of all members of overlapping professions or business types shall be required.

Section 4. Membership shall be made available to persons representing non-profit organizations or charitable events.
Regular membership dues will not be required of such members, however, such members will be required to meet the Club's attendance rules to continue to participate. Such members, once accepted by the president, shall be included in determining quorum and they shall be allowed to vote. Acceptance of such members shall be in the sole discretion of the President of the Club.

 

ARTICLE VII - New Members

Section 1. The pres1dent of the Club has the responsibility of deciding whether a prospective member will fill a vacant profession of business type or whether the profession or business type is advantageous to the Club.
 
Section 2. The Secretary shall invite the prospective member to join. Their dues are due and payable on the 3rd attendance, but in any event no later than 3 weeks after the first visit.

Section 3. Prospective members who express an interest in joining
the Club shall be notified by the Secretary if their profession or business type creates a conflict. If a conflict exists Article VI, Section 3 applies. If no conflict exists, they will be invited to join.
 
Section 4. The first member of any profession or business type to be accepted for membership and
pay his dues shall be the representative of that profession or business type.
 
 

ARTICLE VIII - Dues and Fines

Section 1. The Club shall operate on a fiscal year from September l to August 31. Dues for the Club shall be $10.00 monthly or $60.00 annually (prorated for the fiscal year). Dues are applied to the costs of the Club. Members who fail to keep their dues current will be classified as delinquent and handled as such.

Section 2. If a policy as to fines has been adopted as provided Herein, the Treasurer shall enforce the collection of fines from each member without a tip and/or late at each weekly meeting. Before the conclusion of the meeting, the Treasurer shall collect a11 fines for deposit in the Club's account.
 

ARTICLE IX - Delinquent Members

Section 1. A member delinquent in his dues or fines shall be contacted by the Treasurer. If the delinquent member does not pay the outstanding dues or fines, if applicable, in full within a reasonable time, he will be dropped automatically from membership upon notice by the Secretary.
 
Section 2. It will be the responsibility of the member to contact the Secretary regarding past or future absences. Any member who is absent from fifty percent (50%) or more of the meetings in any given calendar quarter, will be dropped automatically from membership. His professional or business classification is then reopened. A member will not be considered absent for a meeting if he (i) attends in person, (ii) sends a substitute from his business who attends or (iii) sends a tip to be given at the meeting.

Section 3. A member who has been dropped from the membership roll due to lack of
attendance may request reinstatement.

Section 4. Any member who has been dropped from membership for delinquency in his dues can request reinstatement. Any member who is accepted for reinstatement must bring his dues to a current status and, in addition thereto, a $5.00 fine, prior to being reinstated on the active roll of the Club.
 
Section 5. It shall be the duty of the Secretary to keep an attendance record. In the event of a dispute concerning attendance, the record, as kept by the Secretary, will be conclusive and will determine the status of all members.

Section 6. Any member may obtain a leave of absence from active participation in the functions and purposes of this Club for any reasonable cause and Section 1, 2, 3, 4, and 5 of the Articles will not apply. This section will have application only upon the approval of a majority of a quorum of the general membership at a regular meeting.
 

ARTICLE X - General

Station 1. There shall be no age limit on any classification of a business or profession for membership.

Section 2. These By-Laws may be amended by a majority vote of the Club membership at a regular business meeting called specifically for that purpose. Each member must be notified at least seven (days prior to the meeting date for any such "called" meeting.
 
Section 3. The President shall appoint all members of any committee approved by the general membership and be ex-officio member of each committee.
